Team Overview

Our Legal team, comprised of a global commercial and global compliance subteams, serves as proactive advisors and business partners, enabling effective legal and operational solutions in support of PowerSchool’s vision. This includes providing advice on company strategies and implementation, supporting complex business transactions, and negotiating critical contracts.

Responsibilities

Description

PowerSchool’s Senior Corporate Counsel, Privacy & Security (India) will serve as a key member of the company’s global compliance team within the PowerSchool legal department.  This position will collaborate to strategically support international expansion of PowerSchool, a global data processor of student educational records and other personal information, into new and existing regions of the world by reviewing and advising on global privacy regulations.  This role will support the existing activities of the company’s global privacy program which include, but are not limited to, managing Data Subject Access Requests (DSARs), completing and updating product Data Privacy Impact Assessments (DPIAs), engaging in Data Privacy Agreement (DPA) negotiations to support procurement and commercial transactions, support privacy audits and product counseling in the context of company’s privacy by design efforts.  Furthermore, this role will work closely with the company’s information security to support investigation and customer communications regarding security incidents investigations.

 

The Senior Counsel will work pursuant to company and legal department policies and procedures while conducting negotiations with customers, vendors and partners.  The position is not currently a people managing position.  The position is in Bengaluru, Karnataka given the base of operations is in this part of India, the role is currently a hybrid work model with a mandatory number of days in the office in Bengaluru.  The Senior Corporate Counsel, Privacy & Security is a member of the global compliance team and reports directly to the Chief Compliance, Privacy and Data Protection Officer within the PowerSchool Legal Department.

 

  The Global Regulatory Compliance team provides legal advice and guidance on global privacy/security, ethics, corporate and general regulatory complaince matters. The team reviews, drafts, and negotiatee policies, procedures, contracts, agreements, and legal documents with clients, vendors, and other stakeholders. In addition, the team conducts legal research and analysis on relevant laws, regulations, and precedents to support our business activities.

  Your day-to-day job will consist of:

  • Provide prompt, risk-based pragmatic advice and resolution for global commercial negotiations, specifically related to data privacy provision.
  • Consult with multiple stakeholders on maturing the privacy framework governed by corporate policies and business practices in alignment with PowerSchool’s growth strategy.
  • Understand, interpret and explain regulatory provisions, contractual terms and legal principles to all levels of staff and negotiate effectively with 3rd parties as related to any alleged security or privacy incident.
  • Responding to various ad-hoc queries where the role must identify, analyze and assess risk in connection with business transactions, including in connection with internal approvals to assist approvers in making decisions on an informed basis.
  • Ensure all DSARs, DPA negotiations and DPIAs (PIAs) are managed and tracked effectively in compliance with local laws.
  • Manage updates to the global privacy statement as needed.
  • Be a trusted partner in advising all levels of staff regarding global privacy laws and regulations.
  • Assist in ensuring business transactions and product development issues comply with PowerSchool business practices, policies, procedures as well as local laws

Qualifications

Minimum Qualifications

  • A LLB and excellent academic credentials from a top law school.
  • Ability to speak fluently in English, Hindi, and/or other Indian languages.
  • Minimum 12 years PQE, including prior in-house experience with technology companies and/or a law firm.
  • 7+ years’ experience of legal experience in a large law firm or corporate in-house department (in house preferred) with considerable experience in privacy, regulatory compliance, and cybersecurity matters.
  • At least one of the following privacy certifications: CIPP/US, CIPP/E, CIPP/A, CIPP/C, CIPT and CIPM.
  • Preferably a holder of a security certification such as one of the following: CISM, CISA, CRISC, CISSP, or CompTIA Security+
  • Some knowledge in the application of artificial intelligence (AI) and AI Impact Assessments for Global AI Governance a plus.
  • Superior legal skills and business judgment in areas of responsibility.

Preferred Qualification

  • Must have ability to thrive in a fast-paced environment and be comfortable with change and ambiguity.
  • Experience with software licensing, including, SaaS, licensed software, cloud-based solutions, intellectual property, and open source.
  • Experience with reviewing, drafting, and negotiating federal, state, and local government contracts related to, among other things, software licensing, marketing, products and services procurement, privacy and data rights and processing, and professional services.
  • Broad understanding of procurement agreements for products and services including complex software, technology, hardware purchase and leasing, professional services, general commercial, and offshore and domestic outsourcing agreements.
  • Familiarity with other regulatory compliance issues including, but not limited to, print advertising, state and federal, state trade and competition regulations and statutes.
  • Some experience with domestic and cross-border aspects of general applicable privacy and data security laws and regulations.
  • Outstanding presentation, written and oral communication and interpersonal skills as well as the ability to influence, teach and inform a diverse group of professionals.
  • Open-minded, collaborative, and a sense of humor and resiliency, with the ability to adapt to the company’s core values, mission and purpose of the organization.
  • Attention to detail with a commitment to mitigating risk to the corporate client.
  • Ability to work directly with senior levels of management and to effectively communicate legal issues and obtain input and decision making within tight deadlines.
